Maison Matcha LLC (“Maison Matcha,” “we,” “us,” or “our”) operates this website (the “Site”) and the services related to or offered through the Site (collectively, the “Services”). Our Services include, without limitation, the sale of matcha, hojicha, and related products, as well as product information, customer support, website content, and other features and functionality made available through the Site.
These Terms of Service (“Terms”) govern your access to and use of the Site and Services provided by Maison Matcha. Please read these Terms carefully before accessing or using the Site or any of the Services. By accessing or using the Site or Services, you agree to be bound by these Terms. If you do not agree with these Terms, you may not access or use the Site or Services.

You may not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, sell, or otherwise exploit Site content without the prior written permission of Maison Matcha.
Maison Matcha reserves the right to modify, suspend, or discontinue the Site or any portion of the Services at any time, with or without notice.
Prohibited Activities
The Site and Services are not intended for children under the age of 13, and children under 13 should not use the Site or Services.
In connection with your use of the Site and/or Services, you agree that you will not:

Maison Matcha reserves the right to suspend or terminate access to the Site or Services for users who violate these Terms.
Product Reviews, Submissions, and User Content
The Site may allow customers and other users to submit product reviews, comments, photographs, videos, testimonials, or other content (“User Content”).
When submitting User Content, you represent and warrant that:
You own the User Content or have obtained all necessary rights and permissions to submit it; Your User Content does not infringe the intellectual property, privacy, publicity, contractual, or other rights of another person or entity; Your User Content is not unlawful, defamatory, threatening, abusive, harassing, obscene, fraudulent, or otherwise objectionable; Your User Content does not contain malicious software or harmful code; and You have obtained appropriate permission from any person appearing in photographs, videos, or other submitted content.
You agree not to submit User Content that:
Contains personal information belonging to another person without their permission; Impersonates another person or entity; Contains spam, unauthorized advertising, or promotional material; Infringes copyrights, trademarks, trade secrets, or other intellectual property rights; Encourages illegal activity; Is discriminatory, hateful, threatening, or abusive; or Violates any applicable law or regulation.
Maison Matcha reserves the right, but does not assume an obligation, to review, moderate, edit, refuse to publish, or remove User Content at any time and for any reason.
By submitting User Content to Maison Matcha or posting User Content through the Site, you grant Maison Matcha a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, display, distribute, modify, publish, and otherwise use that User Content in connection with Maison Matcha’s business, including its website, social media, advertising, marketing, and promotional activities.
You understand that you will not receive compensation for such use unless otherwise agreed to by Maison Matcha in writing.
You acknowledge that User Content may be publicly visible when posted through public portions of the Site.
Commercial Transactions
Certain products, including matcha and hojicha, may be offered for sale through the Site. Products may be available exclusively online and may be offered in limited quantities.
We make reasonable efforts to display product images, descriptions, colors, ingredients, and other product information as accurately as possible. However, the appearance of products and colors may vary depending on your device, monitor, or display settings.
Maison Matcha reserves the right to:
Limit the quantities of products available for purchase; Refuse or cancel orders; Limit sales to particular persons, geographic areas, or jurisdictions; Discontinue products at any time; and Change product descriptions, pricing, availability, or other product information at any time without notice.
All orders are subject to availability and acceptance.
By placing an order, you agree to provide accurate, complete, and current information necessary to process your purchase, including your name, billing information, shipping information, email address, and payment information.
You are responsible for all charges associated with your order, including applicable taxes and shipping charges.
Maison Matcha reserves the right to refuse or cancel orders that appear to be placed by dealers, resellers, distributors, or other parties purchasing products for resale without authorization.
Order Information and Payment
When you place an order through the Site, you agree to provide accurate, complete, and current purchase and account information.
You agree to promptly update your information, including your email address, billing information, shipping address, and payment information, so that we can complete your transaction and contact you when necessary.
By providing payment information, you authorize Maison Matcha and its authorized third-party payment processors to process charges associated with your order.
Payment must be successfully received before an order is processed or shipped.
If a payment cannot be processed, is reversed, or is subject to a chargeback, Maison Matcha reserves the right to suspend or cancel the applicable order or take other appropriate action.
Order Errors and Cancellations
Maison Matcha reserves the right to correct errors, inaccuracies, or omissions relating to product descriptions, pricing, promotions, availability, or other information on the Site.
If a product is listed at an incorrect price or with incorrect information, we reserve the right to refuse or cancel an order placed for that product.
If payment has already been processed for a canceled order, Maison Matcha will issue an appropriate refund to the original payment method, subject to applicable law and our Return & Refund Policy.
We may also cancel or modify an order when necessary due to inventory limitations, suspected fraud, payment issues, shipping restrictions, or other circumstances that prevent us from fulfilling the order.
Shipping and Risk of Loss
Products purchased through the Site may be shipped using third-party carriers.
Shipping times are estimates and are not guaranteed unless otherwise expressly stated.
Maison Matcha is not responsible for shipping delays caused by carriers, weather, customs, natural disasters, governmental actions, or other circumstances beyond our reasonable control.
Customers are responsible for providing an accurate and complete shipping address when placing an order.
Risk of loss may pass to the customer upon delivery of the order to the shipping carrier, except where otherwise required by applicable law.
Returns, Refunds, and Cancellations
Returns, refunds, exchanges, and order cancellations are subject to Maison Matcha’s applicable Return & Refund Policy.

Nothing in these Terms is intended to limit any rights you may have under applicable consumer protection laws.

Maison Matcha sells matcha and hojicha products intended for consumption when prepared and used according to the applicable product instructions.

Maison Matcha does not make any representation that its products are appropriate for every individual.

Some jurisdictions do not permit certain limitations of liability. In such jurisdictions, the limitations above will apply only to the extent permitted by applicable law.
Indemnification
You agree to defend, indemnify, and hold harmless Maison Matcha LLC and its officers, directors, employees, contractors, agents, affiliates, licensors, and service providers from and against claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:
Your violation of these Terms; Your violation of any applicable law or regulation; Your User Content; Your infringement of another person’s intellectual property, privacy, or other rights; or Your misuse of the Site or Services.
Copyright Policy

Jurisdictional Issues
Maison Matcha LLC makes no representation or warranty that the goods, products, services, content, or materials available on the Site or through the Services are appropriate or available for use in locations outside the United States.
Those who choose to access the Site or use the Services from locations outside the United States do so on their own initiative and at their own risk and are responsible for compliance with any applicable local laws and regulations.
Maison Matcha reserves the right, at any time and in its sole discretion, to limit the availability or accessibility of the Site, Services, or any products offered or sold through the Site to any person, geographic area, or jurisdiction, and to limit the quantities of any products or Services that Maison Matcha may provide.
Termination
These Terms are effective unless and until terminated by either you or Maison Matcha LLC.
You may terminate your agreement to these Terms at any time by ceasing to use the Site and Services.
If Maison Matcha LLC determines, in its sole discretion, that you have violated or may have violated any provision of these Terms, we may terminate or suspend your access to the Site or Services, in whole or in part, at any time and without prior notice.
Maison Matcha LLC may also terminate or suspend access to your account, remove User Content, or restrict your ability to use the Site or Services for any reason, including suspected fraudulent, unlawful, abusive, or unauthorized activity.
Termination will not affect any rights, obligations, or liabilities that arose before termination or that, by their nature, are intended to survive termination.
You remain responsible for any amounts owed to Maison Matcha LLC that arose before the effective date of termination.
Any provisions of these Terms that by their nature should survive termination, including provisions relating to intellectual property, User Content, disclaimers, limitations of liability, indemnification, and governing law, will survive termination.
Governing Law
These Terms of Service and the relationship between you and Maison Matcha LLC shall be governed by and construed in accordance with the laws applicable to Maison Matcha LLC, without regard to conflict of law principles.
Any dispute arising out of or relating to these Terms, the Site, Services, or products purchased through the Site shall be subject to the jurisdiction of the courts having appropriate jurisdiction over the matter, unless otherwise required by applicable law.
Nothing in these Terms is intended to limit any rights or protections available to you under applicable consumer protection laws.
Waiver and Severability
The failure of Maison Matcha LLC to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of that right or provision.

Maison Matcha LLC will not be liable to you or any third party for any modification, suspension, or discontinuation of the Site or Services to the extent permitted by applicable law.
Entire Agreement
These Terms of Service, together with our Privacy Policy, Return & Refund Policy, and any other policies or operating rules posted on the Site or applicable to the Services, constitute the entire agreement between you and Maison Matcha LLC regarding your use of the Site and Services.
These Terms supersede any prior or contemporaneous agreements, communications, or proposals, whether oral or written, relating to your use of the Site or Services.
